Terms of Service

Effective Date: February 13, 2026

These Terms of Service (“Terms”) constitute a legally binding agreement between Bolton Pacific Group Ltd. (“we,” “us,” or “our”) and the user (“you” or “your”) governing the access to and use of our proprietary software applications and services, including but not limited to Cellarbase (cellarbase.com) and any other first-party SaaS products operated by us (collectively, the “Services”). By creating an account or utilizing the Services, you agree to be bound by these Terms.

1. Subscription and License

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use our software for your internal business or personal purposes. This is a subscription-based service; we are providing access to the software, not selling a copy of it to you.

2. Account Security

You are responsible for maintaining the confidentiality of your account credentials. Any activity occurring under your account is your responsibility. You agree to notify us immediately of any unauthorized use of your account or security breaches.

3. Fees and Payment

Billing: All fees are billed in advance on a recurring basis (monthly or annually) as selected during signup.

Automatic Renewal: Your subscription will automatically renew at the end of each term.

Price Changes: We reserve the right to change our fees. We will provide at least 30 days’ notice of any price changes, which will take effect at the start of your next billing cycle.

4. Acceptable Use Policy

You agree not to misuse our services. Prohibited activities include, but are not limited to:

• Attempting to reverse-engineer, decompile, or extract the source code of our software.
• Using the service for any illegal or unauthorized purpose.
• Interfering with or disrupting the integrity or performance of the software.
• Bypassing any security or authentication measures.
• Uploading malicious code, viruses, or harmful data.

5. Intellectual Property

Our Property: Bolton Pacific Group Ltd. retains all right, title, and interest in and to the software, including all updates, modifications, and intellectual property rights therein.

Your Data: You retain ownership of all data, content, or information you upload to the service (“User Data”). You grant us a limited license to host, transmit, and display your data solely as necessary to provide the service to you.

6. Limitation of Liability

To the maximum extent permitted by the laws of British Columbia:

• As-Is Basis: Our services are provided “as-is” without any warranties of any kind, whether express or implied.
• Liability Cap: In no event shall Bolton Pacific Group Ltd. be liable for any indirect, incidental, special, or consequential damages (including loss of profits or data). Our total liability for any claim arising out of these Terms shall not exceed the total amount paid by you to us in the 12 months immediately preceding the event giving rise to the claim.

7. Termination and Cancellation

By You: You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of the current billing period.

By Us: We may suspend or terminate your access if you breach these Terms or fail to pay fees.

Data Portability: Upon termination, you will have a period of 30 days to request your data from the platform. After this period, we reserve the right to delete your data in accordance with our Privacy Policy.

8. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any disputes arising from these Terms shall be resolved in the courts located in British Columbia.

9. Amendments

We may update these Terms from time to time. If we make material changes, we will notify you via email or through the application interface. Continued use of the service after such changes constitutes your acceptance of the new Terms.
